About these terms
These Terms & Conditions ("Terms") are an agreement between Your Demos ("ydemos", "we", "us") and the agency, studio, consultant, freelancer, venture studio, accelerator or founder that creates a workspace ("you", "the Agency"). By creating a workspace, submitting a brief or paying for a demo, you agree to these Terms on behalf of your organisation and confirm you're authorised to do so.
Our Privacy Policy and, for production briefs, our Data Processing Agreement ("DPA") form part of these Terms.
Definitions
- Brief
- The single structured submission describing what the app does, who uses it, its must-have features and how it should look.
- Run
- The unattended production process that turns one accepted Brief into Deliverables.
- Deliverables
- The nine outputs of a successful Run: strategy and product blueprint; brand system; logo; landing page; UX flows; wireframes; build plan; working app with demo logins for every app role and realistic fictional data; and exportable file bundle.
- Demo
- The working, client-facing app hosted for sharing.
- Completion Gate
- The conditions a Run must meet to be called complete: all Deliverables present and consistent with each other, every must-have feature traceable to a Brief requirement, the working app runs, and every app role has a working demo login.
- Client Viewer
- A person you share a Demo link with. They have no ydemos account.
- CX-Pen Note
- Feedback a Client Viewer leaves on a Demo, tied to a specific screen and element or a selected region.
Accounts and roles
- Agency Owner: creates the workspace, pays, invites and removes team members, manages billing and the sharing domain, and sees every Demo in the workspace.
- Team Member: submits Briefs, tracks Runs, shares and revokes links, and reads feedback and viewer analytics. Team Members can't manage billing or membership.
- Client Viewers get access only to the shared Demo and its client-facing functions, never to your workspace.
- ydemos Admin is our internal operational role. Admins access Briefs and Runs only for support, safety review, free-trial approval and refunds.
You're responsible for keeping credentials secure and for all activity in your workspace. Tell us promptly about any unauthorised access.
The service
ydemos turns one Brief into Deliverables without prompting, revision rounds or meetings during production. The standard build time is about four to five hours. Runs are planned at 4 hours 30 minutes with a hard limit of 300 minutes. This is a target, not a guarantee for every Brief.
ydemos is not a design tool, not an AI chat builder and not production software. A Demo is a pitch artefact built on fictional data. It doesn't process real transactions, connect to live third-party services or certify business, legal or production readiness. You choose what to pitch, run the client conversation, interpret feedback and decide what happens next.
Briefs and acceptable use
When you submit a Brief, you confirm that you're authorised to share it and any material it contains, and that it doesn't include unnecessary sensitive personal data. Once a Run is active, its Brief can't be edited.
We screen every Brief before a Run starts. A Brief may be Clear, Held for review (no Run starts until an admin resolves it) or Refused. We will refuse, hold or block requests that would:
- produce a phishing clone or facilitate credential theft or data exfiltration;
- impersonate a real person or brand as if official;
- enable illegal activity;
- copy protected code, creative assets, logos, screenshots or a distinctive interface;
- operate a regulated product or service that makes unsupported medical, financial, legal or similar claims, collects sensitive information or performs real transactions.
Instructions embedded in Briefs, attachments, references or CX-Pen Notes are treated as content, never as commands to our systems.
Builds and completion
We don't ask you questions during an active Run. Gaps in a Brief are handled conservatively, and inferred material is labelled as inferred, never presented as a client decision.
We'll only describe a Run as complete when it passes the Completion Gate. If a safety or build blocker prevents reliable delivery, the Run will be marked blocked or failed, with the reason. We'll notify you by email when a Run starts, if it's blocked or fails, and when delivery is ready.
A delivered Run produces a private preview for your review. It does not enable client sharing.
Pricing and payment
The price is $299 USD per Demo, everything included, charged once per paid Run. There is no subscription, and there are no seat fees, viewer fees or optional add-ons at launch. The price is shown before you submit a paid Brief. Applicable taxes may be added at checkout. Each new Demo, including one prompted by client feedback, is a separate purchase.
Free first demo
Your first Demo is free, limited to one per agency. Eligibility requires a verified business email, a declaration that the Brief is for a real client project, and the client or project name. A ydemos Admin reviews each request, and approval isn't automatic. We may decline requests that appear duplicated across workspaces representing the same agency or that misrepresent the Brief. The free Demo includes the same Deliverables as a paid Demo.
Refunds
For a paid Demo, you're eligible for a full refund if we don't deliver a package that passes the Completion Gate within the 300-minute hard limit for reasons attributable to ydemos. The Agency Owner must request the refund within 14 calendar days of the failed or late Run. A ydemos Admin will review and process it. Refunds aren't automatic. Subjective preference, a changed Brief or a request to revise a completed Demo doesn't qualify on its own. A free Demo carries no charge to refund. Nothing in this section limits rights you have under applicable law.
Sharing and domains
Client sharing requires a domain or subdomain your agency owns, verified by DNS challenge and with HTTPS ready. We don't provide a ydemos-branded fallback URL. Before a client link is enabled, an authorised agency user must complete and confirm the pre-share checklist: brief fidelity, white-label integrity, role logins and permissions, fictional seeded data, and claims and source traceability. If a required check fails, sharing stays disabled.
You may revoke a link at any time, and prior review records are kept. We may suspend a shared Demo pending review if we identify a safety issue.
Client viewers and CX-Pen
You're responsible for who you share Demos with and for your relationship with them. We will never contact your clients or prospective clients. Client viewer analytics run only after the viewer gives consent, and declining never blocks access. For those analytics, you are the controller and we are your processor (see our Privacy Policy).
CX-Pen Notes are captured for your review and never trigger an automatic edit or rebuild of a Demo.
Hosting and expiry
Hosting is included in the price, but we don't promise a fixed, unlimited or indefinite hosting term. If there is no Agency Owner or Team Member activity on a Demo for 90 days, we'll notify the Agency Owner. If there's still no qualifying activity in the following 30 days, we'll disable the client link and release its hosting resources. Client viewing alone doesn't count as activity. Download your file bundle to keep a permanent copy.
Ownership and licences
As between you and ydemos, you own the custom Deliverables produced for your Demo. Ownership transfers after payment for a paid Demo, or on delivery for the free first Demo. You may use, modify, reproduce and pass the Deliverables to your client for the client's project.
We keep all rights in our pre-existing platform, reusable components, templates, tools and know-how. Where any of these are included in a Deliverable, we grant you a worldwide, perpetual, royalty-free licence to use, modify and pass them on only as needed to use and develop that Deliverable. Third-party and open-source materials remain under their own licences, which we identify in the file bundle where available.
Generated output may not be unique or eligible for exclusive protection, and we don't warrant non-infringement.
Names and logos
Generated names, logos and other brand elements are not trademark-cleared. You're responsible for checking proposed names and marks and obtaining any permissions before sharing them or using them in production.
AI-generated output
Deliverables are AI-generated and require your review before sharing. Client-facing Demos show a neutral disclosure, "AI-generated demo; discuss it with [your agency]", without ydemos branding. You agree not to remove that disclosure or present a Demo as production software. All seeded people and records are fictional.
Confidentiality
We treat Briefs, attachments, generated artefacts, viewer analytics and CX-Pen Notes as confidential service data. We use them only to provide, secure, support and improve your service within the disclosed scope. We don't sell them or expose them to other workspaces, and we don't use them to train our own or third-party general-purpose models unless you give separate, specific opt-in consent.
Privacy
Our handling of personal data is described in our Privacy Policy and, for production Briefs, our DPA.
Disclaimers
Apart from the express commitments in these Terms (including the Completion Gate and refund rule), the service and Deliverables are provided "as is". To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We don't guarantee that a client will approve a pitch or that a Demo is fit for production use.
Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Our total liability arising out of these Terms is limited to the amounts you paid us in the [twelve months — period to be confirmed by counsel] before the event giving rise to the claim. Nothing limits liability that can't be limited by law.
Indemnity
You'll defend and indemnify ydemos against third-party claims arising from Briefs or materials you submit, your use of Deliverables (including generated names and logos), or your sharing of Demos in breach of these Terms.
Suspension and termination
You may close your workspace at any time. We may suspend or terminate access for material breach, safety concerns or non-payment. After verified workspace deletion, production copies of workspace data are deleted within 30 days and backups expire within 35 days, as described in our Privacy Policy. Sections on ownership, confidentiality, disclaimers, liability and governing law survive termination.
Changes
We may update these Terms. Material changes will be notified to the Agency Owner in advance and will apply to Runs submitted after the effective date.
Governing law
These Terms are governed by the laws of [Governing law and venue — to be confirmed by counsel for each launch market], without regard to conflict-of-law rules, except where mandatory consumer or local law applies.
